Terms of Service

These Terms of Service govern your use of the MVaults website and your purchase of products from us. Please read them carefully before using our services.

1. Acceptance of Terms

Welcome to MVaults. These Terms of Service ("Terms") govern your use of the MVaults website at mvaults.com (the "Site") and your purchase of products from us. By accessing our Site or placing an order, you agree to be bound by these Terms.

Please read these Terms carefully before using our Site or making a purchase. If you do not agree with any part of these Terms, you must not use our Site or purchase our products.

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to the Site. Your continued use of the Site following any changes constitutes acceptance of those changes. We encourage you to review these Terms periodically.

These Terms constitute a legally binding agreement between you and MVaults. If you are using our Site or purchasing on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.

2. Eligibility

To use our Site and purchase products, you must:

  • Be at least 18 years of age or the age of majority in your jurisdiction
  • Have the legal capacity to enter into binding contracts
  • Not be prohibited from purchasing products under applicable laws
  • Provide accurate and complete information when creating an account or placing an order

By using our Site, you represent and warrant that you meet all of these eligibility requirements. If you do not meet these requirements, you must not access or use our Site.

We reserve the right to refuse service, terminate accounts, or cancel orders at our discretion if we believe you do not meet these requirements or have violated these Terms.

3. Products and Orders

Product Authenticity: All Ledger hardware wallets sold through MVaults are 100% authentic and sourced directly from the official Ledger manufacturer. Each device is factory-sealed and includes the full manufacturer warranty.

Product Descriptions: We strive to provide accurate product descriptions and images. However, we do not warrant that product descriptions, images, or other content on our Site are accurate, complete, reliable, current, or error-free. If a product you receive differs materially from its description, your sole remedy is to return it in accordance with our Return Policy.

Pricing: All prices are displayed in US Dollars unless otherwise indicated. Prices are subject to change without notice. We are not responsible for typographical errors regarding prices. If a product is listed at an incorrect price, we may cancel orders placed at that price.

Order Acceptance: Your order is an offer to purchase. We reserve the right to accept or decline any order. Order confirmation does not constitute acceptance. We may cancel orders due to pricing errors, suspected fraud, product unavailability, or other reasons at our discretion.

Inventory: Product availability is subject to change. We make reasonable efforts to maintain accurate inventory information, but we cannot guarantee that items will be in stock at the time of order processing.

Order Limits: We reserve the right to limit quantities purchased per person, household, or order. This includes orders placed under the same account, credit card, or shipping address.

4. Payment Terms

Payment Methods: We accept major credit cards (Visa, MasterCard, American Express, Discover), debit cards, Apple Pay, Google Pay, and PayPal. All payments are processed securely through Stripe.

Payment Processing: By providing payment information, you represent that you are authorized to use the payment method and authorize us to charge the full order amount plus any applicable taxes and shipping fees.

Currency: All transactions are processed in US Dollars. If your card is denominated in a different currency, your bank may charge a currency conversion fee.

Payment Security: We use industry-standard encryption and PCI-compliant payment processing. We do not store your complete credit card information on our servers.

Authorization Holds: When you place an order, we may place a temporary authorization hold on your payment method. This hold will be captured when your order ships or released if the order is cancelled.

Failed Payments: If a payment fails, your order will not be processed. We will notify you and you may attempt to place the order again with a valid payment method.

5. Shipping and Delivery

Shipping Methods: We offer various shipping options depending on your location. Available methods and estimated delivery times are displayed at checkout.

Shipping Costs: Shipping costs are calculated based on destination, weight, and selected shipping method. Free shipping may be available for qualifying orders as indicated on our Site.

Processing Time: Most orders are processed and shipped within 24 business hours. Orders placed on weekends or holidays will be processed the next business day.

Delivery Times: Estimated delivery times are not guaranteed and may vary based on carrier delays, customs processing, weather, and other factors outside our control.

International Shipping: International orders may be subject to import duties, taxes, and customs fees imposed by the destination country. These charges are the responsibility of the recipient and are not included in our prices.

Risk of Loss: Risk of loss and title for products pass to you upon delivery to the carrier. We are not responsible for lost or stolen packages after delivery confirmation, though we will assist in filing claims where applicable.

Shipping Address: You are responsible for providing accurate shipping information. We are not liable for delays or non-delivery due to incorrect addresses. Address changes after order placement may not be possible.

Discreet Packaging: All orders ship in discreet packaging with no external indication of contents for your security and privacy.

6. Returns and Refunds

Return Policy: We offer a 30-day return policy on unopened products in original packaging. To be eligible for a return, items must be unused, in original factory-sealed condition, and include all original packaging and accessories.

Return Process: To initiate a return, contact our customer service team at returns@mvaults.com with your order number. We will provide return instructions and a return authorization if eligible.

Opened Products: For security reasons, we cannot accept returns of opened, used, or previously activated hardware wallets. Once a device's seal is broken, it cannot be resold to ensure the security of all our customers.

Return Shipping: Return shipping costs are the customer's responsibility unless the return is due to our error or a defective product. We recommend using a trackable shipping method.

Refund Processing: Refunds are processed within 5 business days of receiving and inspecting the returned item. Refunds are issued to the original payment method. Please allow additional time for your bank to process the refund.

Restocking Fees: We do not charge restocking fees for returns of unopened products within the return period.

Defective Products: Defective products are covered under the manufacturer's warranty. Contact us immediately if you receive a defective product and we will facilitate warranty service or replacement.

Non-Returnable Items: Digital products, gift cards, and clearance items marked as final sale are non-returnable.

7. Warranty

Manufacturer Warranty: All Ledger hardware wallets sold through MVaults include the official 2-year manufacturer warranty from Ledger. This warranty covers defects in materials and workmanship under normal use.

Warranty Coverage: The warranty covers: - Manufacturing defects - Hardware malfunctions not caused by physical damage - Screen defects - Button failures - Firmware issues affecting device function

Warranty Exclusions: The warranty does not cover: - Physical damage (drops, water damage, etc.) - Damage from unauthorized modifications - Normal wear and tear - Cosmetic damage that doesn't affect functionality - Damage from misuse or failure to follow instructions - Loss or theft

Warranty Claims: To make a warranty claim, contact our support team with your order number, description of the issue, and photos/videos if applicable. We will coordinate with Ledger for warranty service.

Warranty Service: Warranty service may include repair or replacement at Ledger's discretion. Replacement devices may be new or refurbished with equivalent functionality.

Disclaimer: TO THE FULLEST EXTENT PERMITTED BY LAW, ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, ARE DISCLAIMED.

8. Intellectual Property

Our Content: All content on our Site, including text, graphics, logos, images, software, and compilation of content, is the property of MVaults or its content suppliers and is protected by intellectual property laws.

Trademarks: "MVaults" and our logo are trademarks of MVaults. "Ledger," "Ledger Nano," and related names and logos are trademarks of Ledger SAS. All other trademarks are the property of their respective owners.

Limited License: We grant you a limited, non-exclusive, non-transferable license to access and use our Site for personal, non-commercial purposes. This license does not include: - Resale or commercial use of our Site or content - Collection or use of product listings or descriptions - Derivative use of our Site or content - Downloading or copying account information for others - Use of data mining, robots, or similar data gathering tools

User Content: By submitting reviews, comments, or other content to our Site, you grant us a non-exclusive, royalty-free, perpetual license to use, reproduce, modify, and display that content in connection with our business.

Copyright Infringement: If you believe content on our Site infringes your copyright, please contact us at legal@mvaults.com with the details required under the Digital Millennium Copyright Act (DMCA).

9. Prohibited Activities

You agree not to engage in any of the following prohibited activities:

Illegal Activities: - Using our Site for any unlawful purpose - Violating any applicable laws or regulations - Facilitating money laundering or other financial crimes - Purchasing products for resale without authorization

Harmful Activities: - Attempting to gain unauthorized access to our systems - Transmitting viruses, malware, or harmful code - Interfering with the operation of our Site - Engaging in denial of service attacks

Fraudulent Activities: - Providing false or misleading information - Using stolen payment information - Creating multiple accounts to circumvent order limits - Engaging in price manipulation or arbitrage schemes

Abuse: - Harassing, threatening, or intimidating our staff - Submitting fraudulent returns or chargebacks - Abusing promotional offers or coupons - Engaging in any form of fraud or deception

Violation of these prohibitions may result in immediate termination of your account, cancellation of orders, and potential legal action.

10. Limitation of Liability

Disclaimer: OUR SITE AND PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT OUR SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

Limitation: TO THE MAXIMUM EXTENT PERMITTED BY LAW, MVAULTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO: - Loss of profits, revenue, or data - Loss of cryptocurrency or digital assets - Business interruption - Cost of substitute products or services - Any damages arising from your use of our Site or products

Cap on Liability: OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF OUR SITE OR PRODUCTS SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCT GIVING RISE TO THE CLAIM.

Cryptocurrency Disclaimer: WE ARE NOT RESPONSIBLE FOR ANY LOSS OF CRYPTOCURRENCY OR DIGITAL ASSETS. WE DO NOT CONTROL, HAVE ACCESS TO, OR STORE YOUR CRYPTOCURRENCY. YOU ARE SOLELY RESPONSIBLE FOR SECURING YOUR PRIVATE KEYS AND RECOVERY PHRASES.

Exceptions: Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless MVaults, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

  • Your use of our Site or products
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your violation of any applicable laws
  • Any content you submit to our Site
  • Your negligence or misconduct

We reserve the right to assume exclusive defense and control of any matter subject to indemnification by you. You agree to cooperate with our defense of such claims.

12. Dispute Resolution

Informal Resolution: Before filing any legal claim, you agree to try to resolve the dispute informally by contacting us at legal@mvaults.com. We will attempt to resolve the dispute within 30 days.

Arbitration: If informal resolution is unsuccessful, any dispute shall be resolved through binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The arbitration will be conducted in San Francisco, California, unless you and MVaults agree otherwise.

Class Action Waiver: YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

Exceptions: Either party may bring a claim in small claims court if it qualifies. Either party may seek injunctive relief in court to protect intellectual property rights.

Governing Law: These Terms shall be governed by the laws of the State of California, without regard to conflict of law principles.

Jurisdiction: For any matters not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in San Francisco, California.

Time Limitation: Any claim or cause of action arising from or relating to these Terms must be filed within one (1) year after the claim arose, or it shall be forever barred.

13. Termination

By You: You may terminate your account at any time by contacting us at support@mvaults.com. Termination will not affect any rights or obligations arising from transactions completed prior to termination.

By Us: We may terminate or suspend your account and access to our Site at any time, without notice, for any reason, including: - Violation of these Terms - Suspected fraudulent activity - Abusive behavior toward our staff - At our sole discretion for any lawful reason

Effect of Termination: Upon termination: - Your right to access the Site immediately ceases - We may delete your account and associated data - All provisions that should survive termination shall survive, including intellectual property rights, warranty disclaimers, limitation of liability, and dispute resolution

No Liability: We shall not be liable to you or any third party for termination of your access to our Site.

14. General Provisions

Entire Agreement: These Terms, together with our Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and MVaults regarding your use of our Site and purchase of products.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without your consent.

Force Majeure: We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, strikes, or government actions.

Notices: We may send notices to you via email, posting on our Site, or other reasonable means. You may send notices to us at legal@mvaults.com.

Relationship: Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and MVaults.
